Terms of Use

1. General and acceptance

Welcome to Mediqaro (the "Service"), an online practice management system for independent doctors, available at mediqaro.web.app (the "Site"). Using the Site or the Service - including registering, signing in, or using any part of the system - constitutes full acceptance of these terms and of the Privacy Policy, which forms an integral part of them. If you do not agree, please do not use the Service.

2. What the Service is

The system provides tools for the administrative management of a private clinic: issuing invoice documents, tracking payment status, managing an appointment diary and a financial dashboard. The Service is a practical tool only - it is not certified accounting software, not a tax advisory service, not a medical device and not a medical records system.

3. Registration and account

• Registration is intended for independent medical professionals, or those acting on their behalf, aged 18 or over.
• You must provide accurate details on registration and keep them up to date.
• You are responsible for keeping your sign-in credentials confidential and for any activity in your account.
• Accounts may not be transferred to a third party or used on behalf of anyone not authorised to do so.

4. Plans, pricing and trial

The Service is offered in two plans:

• Free plan - the complete appointment diary, with no time limit, no charge and no payment method required. It also includes viewing, printing, downloading and exporting every document you previously issued.
• Professional plan - everything in the Free plan, plus issuing tax invoices, receipts and credit notes, collection tracking and the financial dashboard. Price: ₪29 per month or ₪299 per year.

Prices are in new Israeli shekels and include VAT as required. The price shown on the Plan screen at the moment you subscribe is the binding one.

Trial: new accounts receive 14 days of full Professional use at no charge. The trial requires no payment method and does not end in an automatic charge: after 14 days, if you have not subscribed on your own initiative, the account moves to the Free plan and nothing is billed.

Legacy accounts: accounts created before paid plans launched are entitled to the full Professional plan free of charge, permanently. This entitlement is not time-limited, requires no action on your part, and will not be withdrawn.

5. Payment, automatic renewal and invoices

• Payment method: payment is processed through PayPal, using a PayPal account or a payment card. The operator never sees, receives or stores your card details at any stage.
• Automatic renewal: the subscription is a continuing transaction that renews by itself at the end of each period - monthly on the monthly plan, annually on the annual plan - until you cancel. On the renewal date, the payment method is charged the plan price then in effect.
• Failed payment: if a charge does not go through, PayPal will retry. Until payment is resolved the subscription may be suspended and the account moves temporarily to the Free plan. Data is not deleted.
• Invoice: a tax invoice / receipt is issued for every charge and sent to the email address registered on your account.

6. Cancellation and refunds

The operator grants you the following cancellation rights, modelled on the principles of the Israeli Consumer Protection Law, 5741-1981 and the Consumer Protection (Cancellation of a Transaction) Regulations, 5771-2010 - regardless of whether purchasing the Service for your professional use falls within the statutory definition of a "consumer":

• Cancel any time, as easily as you subscribed: you can cancel immediately by pressing "Cancel subscription" on the Plan screen inside the system - no retention call, no forms, no need to contact a representative. Alternatively you may send a cancellation notice to the email address in section 16.
• Effect of cancellation: no further charges are made, and Professional access remains open until the end of the period already paid for. There are no cancellation fees and no exit penalty.
• Cancellation within 14 days (distance selling): cancelling within 14 days of the transaction, or of receiving the transaction details document, whichever is later, entitles you to a full refund less a cancellation fee of 5% of the transaction or ₪100, whichever is lower.
• Senior citizens, people with disabilities and new immigrants: this cancellation right is available for four months from the date of the transaction, subject to presenting appropriate documentation.
• Cancelling an annual plan after the cancellation window: if you cancel an annual plan after the 14 days, you will be refunded the proportional part for the full months not yet used. The refund is issued to the original payment method within 14 business days.

7. Moving to the Free plan - what happens to your data

Cancelling, the trial ending, or non-payment do not delete any data. On moving to the Free plan:

• The appointment diary continues to work in full, without limitation.
• Every invoice and document you issued remains saved in your account and available to view, print, download as PDF and export as a full backup - with no time limit and no charge. This is intended to let you meet the document retention obligations that apply to you under Israeli bookkeeping regulations.
• What is unavailable on the Free plan is issuing new documents, editing existing ones, and the financial dashboard. Renewing the subscription restores them immediately.

8. Data storage, cloud and backup

The data you enter (invoices, appointments, patient details and settings) is stored in the cloud in Google Cloud Firestore, associated with your account and accessible from any device you sign in from. Sign-in credentials are managed by Google's Firebase Authentication.

• Data syncs automatically and is available on every sign-in to your account.
• Although the Service relies on reliable cloud infrastructure, we recommend taking a periodic backup using "Download full backup" in Settings and keeping the files somewhere safe.
• Keeping your sign-in credentials confidential is your responsibility, and it is what protects your account.

The Service is provided as-is, and the operator is not liable for data loss arising from causes outside its direct control, including a failure in the third-party cloud infrastructure.

9. Professional, accounting and regulatory responsibility

• Full responsibility for the content of invoices, their accuracy, their numbering and their compliance with the Israel Tax Authority, VAT law and bookkeeping regulations rests with you alone. Consulting a certified accountant or tax adviser is recommended.
• Where you enter patient information into the system, you are the "database owner" of that information under the Israeli Protection of Privacy Law, 5741-1981, and you are responsible for the duties applying to you as a doctor, including medical confidentiality under the Patient's Rights Law, 5756-1996.
• We recommend not entering sensitive clinical information (diagnoses, test results and the like) - the system is intended for administrative management only.

10. Permitted use

The Service may not be used unlawfully, in a way that harms third parties, to attempt to breach or disrupt the Site, to produce false or misleading documents, or for any purpose beyond the Service as described in these terms.

11. Intellectual property

All copyright and intellectual property in the Site, its design, code, logo and the name "Mediqaro" belong to the operator. Copying, reproducing, distributing or creating derivative works without prior written permission is prohibited. The data you enter remains yours.

12. Limitation of liability

The Service is provided as-is and as-available, without any warranty or representation, express or implied, including as to availability, reliability, calculation accuracy or fitness for a particular purpose. The operator is not liable for any direct or indirect damage, including data loss, loss of income or business damage, arising from use of or inability to use the Service - to the maximum extent permitted by law.

13. Changes to the Service, prices and terms

The operator may update the system, add or remove features, and update these terms from time to time. The current version is published on this page with its update date at the top. Continued use after an update constitutes acceptance of the updated version.

Price changes: a price change to an existing plan takes effect only after at least 30 days' advance notice, sent to the email address on your account and shown in the system. The new price applies only from the first renewal after that notice period, and you may cancel before it takes effect without paying it. Price changes never apply to a period already paid for.

Material reduction: if a material feature included in the plan you purchased is removed, you are entitled to cancel and receive a proportional refund for the unused period.

14. Ending use

You may stop using the Service at any time. The operator may suspend or discontinue the Service, or a user's access where these terms are breached, with as much reasonable notice as possible. If the operator discontinues the Service other than due to a breach by you, a proportional refund will be given for the paid and unused period, and you will be given at least 30 days to export all of your data and documents.

15. Governing law and jurisdiction

These terms are governed solely by the laws of the State of Israel. Exclusive jurisdiction over any matter relating to these terms or to use of the Service lies with the competent courts in the Tel Aviv-Yafo district.
